LICENSE AGREEMENT

CAREFULLY:
This license
agreement ("License") is a legal agreement between you (either an individual or
a single entity) and SETA BioMedicals ("SETA").

THIS VERSION OF
SOFTWARE IS AVAILABLE TO YOU FREE-OF-CHARGE FROM WWW.SETABIOMEDICALS.COM UNDER
THE SETA PUBLIC LICENSE AGREEMENT (THE "AGREEMENT") and other open source
software licenses.
BY CLICKING THE
"ACCEPT" BUTTON, OR BY INSTALLING, COPYING OR OTHERWISE USING THE SETA-FRET
SOFTWARE, YOU ARE CONSENTING TO BE BOUND BY THE AGREEMENT. IF YOU DO NOT AGREE
TO THE TERMS AND CONDITIONS OF THIS AGREEMENT, DO NOT CLICK THE "ACCEPT" BUTTON,
AND DO NOT DOWNLOAD, INSTALL OR USE SETA-FRET SPFTWARE AND PROMPTLY DESTROY THE
UNUSED SOFTWARE. DURING THE SETA-FRET INSTALLATION PROCESS, AND AT LATER TIMES,
YOU MAY BE GIVEN THE OPTION OF INSTALLING ADDITIONAL COMPONENTS FROM THIRD-PARTY
SOFTWARE PROVIDERS. THE INSTALLATION AND USE OF THOSE THIRD-PARTY COMPONENTS MAY
BE GOVERNED BY ADDITIONAL LICENSE AGREEMENTS.
The SOFTWARE is the
property of SETA or its suppliers and is protected by the United States
Copyright Law and International treaty provisions. Your rights and obligations
with respect to the use of this SOFTWARE are as follows:
1. GRANT OF
LICENSE. SETA grants to you, and you accept by clicking the acceptance button
and downloading the SOFTWARE, a non-exclusive license to use the executable code
version of the SOFTWARE.
- SOFTWARE. You may
install and use one copy of the SOFTWARE on a single computer. The primary user
of the computer on which the SOFTWARE is installed may make a second copy for
his or her exclusive use on a home or portable computer.
- RESTRICTIONS. You
may not: copy, modify, or transfer copies of the SOFTWARE except as provided for
in this License; rent, lease, sublicense or assign the SOFTWARE.
2. INTELLECTUAL
PROPERTY RIGHTS. All ownership, title and intellectual property rights in and
to the SOFTWARE, and any copies you are permitted to make herein are owned by
SETA. All ownership, title and intellectual property rights in and to the
content which may be accessed through use of the SOFTWARE is the property of the
respective content owner and may be protected by applicable copyright or other
intellectual property laws and treaties. This License grants you no rights to
use such content.
3. DISCLAIMER OF
WARRANTY. THE PRODUCT IS PROVIDED "AS IS" WITH ALL FAULTS. TO THE EXTENT
PERMITTED BY LAW, SETA AND SETA'S DISTRIBUTORS, LICENSORS HEREBY DISCLAIM ALL
WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES
THAT THE PRODUCT IS FREE OF DEFECTS, MERCHANTABLE, FIT FOR A PARTICULAR PURPOSE
AND NON-INFRINGING. YOU BEAR ENTIRE RISK AS TO SELECTING THE PRODUCT FOR YOUR
PURPOSES AND AS TO THE QUALITY AND PERFORMANCE OF THE PRODUCT. THIS LIMITATION
WILL APPLY NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY REMEDY. SOME
JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF IMPLIED WARRANTIES, SO
THIS DISCLAIMER MAY NOT APPLY TO YOU.
4. NO
CONSEQUENTIAL DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO
EVENT SHALL SETA OR ITS SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL,
INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION,
DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF DATA, OR
ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE
SOFTWARE, EVEN IF SETA BIOMEDICALS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH
DAMAGES.
5. SUPPORT AND
UPDATES. This license does not entitle you to support, telephone assistance,
enhancements or updates.
6. EXPORT
CONTROL. You may not export, ship, transmit or reexport the SOFTWARE or related
documentation in violation of any applicable law or regulation including,
without limitations, the Export Administration Regulations issued by the United
States Department of Commerce.
7. APPLICABLE
LAW. This License is governed by the laws of the State of Illinois.
